Terms and Conditions for QR Suite

Welcome to QR Suite. These Terms and Conditions (“Terms”) govern access to and use of the QR Suite website, platform, applications, products, and services, including QR code generation, smart pages, downloadable assets, and related tools (collectively, the “Services”). By accessing or using QR Suite, creating an account, or clicking to accept these Terms, the user agrees to be bound by them.
If the user does not agree to these Terms, the user must not access or use the Services.
1. Eligibility
The Services are intended only for individuals and businesses that can enter into legally binding contracts under applicable law. By using QR Suite, the user represents and warrants that the user has the legal authority to accept these Terms, and if using the Services on behalf of an organization, that the user has authority to bind that organization to these Terms.
2. About QR Suite
QR Suite is a software platform that enables users to create custom QR codes and related mobile destinations. Features may include QR codes for websites, PDFs, vCard Plus, videos, images, app links, email, SMS, phone, WiFi, event details, feedback, coupons, ratings, business pages, personal pages, social links, and other supported formats, as well as high-resolution exports and hosted smart pages.
QR Suite may add, remove, improve, suspend, or modify features from time to time. Some features may be available only under specific plans, offers, trials, or commercial terms.
3. Account Registration
Some parts of the Services may require account creation. The user agrees to provide accurate, current, and complete information and to keep that information updated.
The user is responsible for:
- Maintaining the confidentiality of account credentials.
- All activities that occur under the account.
- Promptly notifying QR Suite of any unauthorized use or suspected security breach.
QR Suite may suspend or terminate accounts that contain false information, violate these Terms, or create risk for the platform, other users, or third parties.
4. License to Use the Services
Subject to these Terms and any applicable plan limits, QR Suite grants the user a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for lawful internal business or personal use.
This license does not transfer ownership of the Services, software, design systems, trademarks, documentation, or any QR Suite intellectual property to the user.
5. Acceptable Use
The user agrees not to use QR Suite to:
- Violate any law, regulation, or third-party right.
- Create, store, publish, link to, or distribute unlawful, fraudulent, defamatory, infringing, hateful, abusive, obscene, or misleading content.
- Upload malicious code, viruses, or harmful files.
- Interfere with the security, stability, or operation of the Services.
- Attempt unauthorized access to accounts, systems, or networks.
- Reverse engineer, copy, scrape, frame, mirror, resell, or exploit the Services except as expressly allowed in writing.
- Generate QR codes or pages that impersonate another person or business, or that are used for phishing, spam, scams, or deceptive marketing.
QR Suite may investigate suspected misuse and may remove content, disable QR codes or hosted pages, suspend access, or terminate accounts at its discretion where misuse, abuse, or legal risk is reasonably suspected.
6. User Content
The user may submit, upload, create, host, display, or share content through the Services, including text, images, videos, PDFs, brand assets, profile data, page content, destination links, and other materials (“User Content”).
The user retains ownership of User Content, but grants QR Suite a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, format, reproduce, adapt, transmit, and distribute User Content only as reasonably necessary to operate, secure, improve, and provide the Services to the user.
The user represents and warrants that:
- The user owns or controls all rights necessary for the User Content.
- The User Content does not infringe or violate any third-party rights.
- The User Content complies with applicable law and these Terms.
QR Suite has no obligation to monitor User Content, but may review, refuse, remove, or disable any User Content or related QR destination where it reasonably believes a violation, security concern, or legal exposure exists.
7. Hosted Pages and QR Destinations
QR Suite may provide hosted smart pages, business pages, personal pages, event pages, or similar destinations linked through QR codes.
The user is solely responsible for:
- The accuracy of destination content.
- The legality of promotions, coupons, feedback flows, ratings requests, and event details.
- Ensuring linked pages, files, and actions are appropriate for intended audiences and jurisdictions.
QR Suite does not guarantee that third-party links, external websites, app stores, payment pages, or externally hosted files accessed through a QR code will remain available, secure, or unchanged.
8. Intellectual Property
QR Suite and its licensors own all rights, title, and interest in and to the Services, including software, source and object code, interface design, text, graphics, branding, logos, documentation, feature structure, and related intellectual property rights.
Except for the limited license expressly granted in these Terms, no right, title, or interest in QR Suite intellectual property is transferred to the user.
The user must not remove, alter, or obscure any copyright, trademark, or proprietary notices associated with the Services or downloadable materials.
9. Fees, Billing, and Payments
Certain features of QR Suite may require payment under a subscription, one-time purchase, team plan, enterprise agreement, or other commercial arrangement. Pricing, billing intervals, limits, and included features may be described on the applicable pricing or order page.
Unless otherwise stated:
- Fees are payable in advance.
- Charges are non-refundable except where required by law or expressly stated by QR Suite in writing.
- The user authorizes QR Suite or its payment processor to charge all applicable fees, taxes, and renewal charges using the selected payment method.
- Failure to pay may result in feature restriction, suspension, or termination of access.
If QR Suite offers a free trial or promotional plan, QR Suite may define eligibility, duration, restrictions, upgrade rules, and automatic conversion terms at the time of offer.
10. Taxes
The user is responsible for any applicable taxes, duties, levies, or similar governmental charges associated with the purchase or use of paid Services, excluding taxes based on QR Suite’s net income.
11. Availability and Service Changes
QR Suite works to keep the Services available, secure, and reliable, but does not guarantee uninterrupted or error-free operation. Downtime, maintenance, security events, internet failures, third-party outages, and software defects may affect availability or performance.
QR Suite may perform maintenance, updates, upgrades, bug fixes, infrastructure changes, and feature changes without prior notice where reasonably necessary for the operation or security of the Services.
12. Analytics and Platform Data
QR Suite may collect technical, diagnostic, usage, device, and interaction data relating to use of the Services in accordance with its Privacy Policy and applicable law. This may include information needed to operate the platform, secure accounts, improve features, analyze performance, and support reporting or insights made available within the product.
Where QR Suite processes personal data, that processing should be described in the applicable Privacy Policy and, where needed, a separate data processing agreement or enterprise contract.
13. Third-Party Services
The Services may integrate with or link to third-party sites, platforms, files, app stores, payment gateways, social networks, cloud providers, or other external services. QR Suite is not responsible for the availability, content, security, policies, or practices of third-party services.
Use of third-party services may be subject to separate terms and privacy policies imposed by those third parties.
14. Feedback
If the user submits ideas, suggestions, feedback, bug reports, or improvement requests relating to QR Suite, QR Suite may use that feedback without restriction or obligation, and without payment to the user, unless otherwise agreed in writing.
15. Suspension and Termination
QR Suite may suspend, restrict, or terminate access to all or part of the Services immediately, with or without notice, if:
- The user breaches these Terms.
- Payment is overdue.
- The user’s activity creates legal, operational, or security risk.
- QR Suite is required to do so by law or a competent authority.
The user may stop using the Services at any time and may cancel any subscription in accordance with the applicable billing terms.
Upon termination:
- The license granted under these Terms ends immediately.
- QR Suite may disable access to the account, hosted pages, or QR destinations.
- Certain data or content may be deleted in accordance with retention policies, legal obligations, and technical limitations.
16. Disclaimers
The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. QR Suite disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
QR Suite does not warrant that:
- The Services will always be available, secure, or error-free.
- QR codes will scan successfully in every environment, device, print condition, camera quality, or network state.
- Hosted pages, linked destinations, analytics, exports, or file delivery will be uninterrupted or free from delay.
- Results from use of the Services will meet every business or marketing objective.
17. Limitation of Liability
To the maximum extent permitted by law, QR Suite and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, QR Suite’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by the user to QR Suite for the Services giving rise to the claim during the twelve months before the event giving rise to liability, or, if no fees were paid, a nominal amount to be specified by counsel for enforceability in the relevant jurisdiction.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
18. Indemnity
The user agrees to defend, indemnify, and hold harmless QR Suite and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- User Content.
- Use or misuse of the Services.
- Violation of these Terms.
- Violation of any law or third-party right.
19. Governing Law and Disputes
These Terms are governed by the laws of [Insert Jurisdiction], without regard to conflict of law principles. The courts located in [Insert City and Jurisdiction] will have exclusive jurisdiction, unless QR Suite elects to resolve a dispute through arbitration where permitted by applicable law and stated in a separate dispute clause.
For an India-based business, governing law, court jurisdiction, arbitration language, notice periods, GST handling, and consumer law carve-outs should be customized by local counsel before publication.
20. Changes to the Terms
QR Suite may update these Terms from time to time. If material changes are made, QR Suite may provide notice through the website, app, account dashboard, email, or another reasonable method. Continued use of the Services after the updated Terms take effect constitutes acceptance of the revised Terms.
21. Privacy
Use of the Services is also subject to the QR Suite Privacy Policy. Where these Terms and the Privacy Policy both apply, each document will be interpreted according to its subject matter.
22. General Provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Failure by QR Suite to enforce any provision of these Terms is not a waiver of that provision or any other right.
The user may not assign or transfer these Terms without QR Suite’s prior written consent. QR Suite may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
These Terms, together with any applicable order form, plan details, supplemental policies, and the Privacy Policy, constitute the entire agreement between the user and QR Suite regarding the Services.
